Position: Corporate Counsel

Position Description: Headquartered in Baltimore, MD, Vertis Communications provides marketing services from conception through design, production, and distribution for more than 2,000 clients, including grocery stores, retail chains, newspapers, and ad agencies.

The company is seeking a broad-based corporate transactional attorney with experience reviewing, negotiating, drafting and editing non-standard customer contracts, vendor agreements, bank finance transactions, lending agreements, finance documents, and nondisclosure agreements.

Job Responsibilities:
– Support complex sales transactions, as well as advise on a wide range of issues, including:
– Corporate matters.
– Intellectual property matters.
– Bank finance transactions and compliance.
– Significant interaction with different people and departments within the company and assist in managing outside counsel.
There is flexibility for this position to be located in Boulder, CO; Baltimore, MD; or Bristol, PA.
Position Requirements:
– J.D. degree with 3-5 years experience drafting, reviewing and negotiating non-standard corporate agreements.
– The ability to understand the impact of a contract on the company’s business and to translate the contract boilerplate into business terms and implications is required.
– Strong communication and negotiation skills are also required.
