Title: Vice President, General Counsel and Corporate Secretary

Description: This Albuquerque, NM-based company, which makes personal passenger planes, seeks a General Counsel to head overall management of the legal and regulatory functions within the Company and to oversee all legal aspects of its anticipated public offering, including legal compliance with SEC and NASDAQ/NYSE registration and all subsequent reporting requirements. Company is willing to relocate qualified candidate from anywhere in USA to Albuquerque, NM.

Compensation: Base salary is commensurate with experience and stock options are included.
Responsibilities include:
Provide legal advice and counsel to Eclipse’s board of directors and executive staff and their respective organizations (e.g., contracts, sourcing, business development, federal regulatory issues, human resources, and relations with municipal, federal and state agencies).
Serve as Secretary of the Corporation (responsible for all corporate records).
Manage relationship(s) and coordinate all legal activities and work assigned to outside counsel.
Assist outside counsel in matters of research, litigation and pre-trial work. Coordinates, reviews and approves all legal fees for payment.
Manage/coordinate all activities specific to Eclipse’s intellectual property portfolio, including patents, trademarks, copyrights, and trade secrets.
Provide oversight, strategies and recommendations to mitigate/manage risk specific to supplier and customer claims, demands and potential defaults by Eclipse.
Corporate Governance: Attend board and board committee meetings, prepare board and committee meeting minutes; advise board on independence issues and individual board committees on their respective responsibilities.
Advise on legal aspects of: advertising representations, trademarks, copyrights, trade regulations and antitrust laws.
Requirements:
Ability to think strategically and creatively to formulate business solutions that balance complex business and legal issues.
Strong attention to detail with excellent written and verbal communication skills.
Ability to multi-task given short deadlines and a fast paced environment while focusing on deliverables.
Candidate must be persuasive and creditable with a strong knowledge and depth of commercial/corporate and securities law.
Background and Experience:
Minimum 10 years progressive experience in corporate law as a General Counsel, Assistant General Counsel or partner in a recognized law firm.
A member in good standing and admitted to practice law in New Mexico. If not admitted to practice law in New Mexico; must pass New Mexico bar and become a member in good standing within six months of employment at Eclipse.
