COOLEY LLP — MEMORANDUM — IT ORGANIZATIONAL ANNOUNCEMENT

Subject: IT Organizational Announcement

All,

Back in November, I shared with all of you that we had engaged eSentio, a technology consulting firm specializing in the legal industry, to provide a comprehensive review and assessment of Cooley’s current and future technology requirements. This assessment was in direct response to feedback from across all levels of the firm and is designed to help us create a world-class IT organization built upon a culture of service excellence. Based upon this review, we determined that a restructure of our IT and Records staffing was necessary. As a result, 15 IT and Records staff members left the firm today. This is never an easy process, and we are committed to offering support and services to those individuals affected.

It is important to clarify that this is not about eliminating headcount, but rather it is a reorganization and modernization of our IT function. We will be hiring for new positions best suited to match a revamped department with enhanced services and capabilities. As of now, we have a transition plan in place to support our attorneys and staff and manage ongoing IT projects, including the rollout of our new document management system.

I will provide a more detailed roadmap of the major IT improvements taking place that will positively affect all of us at our upcoming State of the Firm meetings. I appreciate your support and understanding throughout this process as we pave the way for Cooley to deliver an exceptional technology platform.

If you have any questions or concerns, please do not hesitate to reach out to Robert Kerr, Adam Ruttenberg or myself.
