Maximize Your In-House Counsel Job Opportunities

· Compensation $300-$500k plus equity

· Negotiating, drafting, reviewing, and administering loan documentation for commercial real estate lending transactions, including letters of intent, mortgage loan documents, modifications, forbearance agreements, confidentiality agreements, and SNDAs;

· Managing outside counsel, reviewing legal due diligence, and coordinating loan closings;

· Providing general legal support, including advising on loan covenants, restructuring underperforming loans, and supervising litigation matters;

· Maintaining and distributing legal documents and templates and developing policies and procedures for handling and organizing project documents; and

· Assisting other members of the team as needed.

Qualifications:

· JD from an accredited, top-tier law school and member of the California bar;

· 3-5 years of experience in commercial real estate finance;

· Prior experience in drafting and negotiating real estate financing documents, interacting with clients and outside counsel, and closing loan transactions;

· Strong interpersonal skills, ability to communicate clearly and concisely, both orally and in writing, and ability to efficiently manage and supervise outside counsel;

· Strong organizational skills and attention to detail, with ability to manage multiple tasks and responsibilities with minimal supervision; and

· Ability to function in a fast-paced, dynamic, and entrepreneurial environment.

· Responsible for all inquiries related to NDAs and other form agreements.

· Responsible for electronic execution and filing of NDAs and other commercial agreements.

· Responsible for handling negotiations of NDAs.

· Assist with developing and implementing a contract management system across business units.

· Assist with government filings, as needed.

· Assist with immigration matters, as needed.

· Assist with other legal projects, as needed.

Requirements

· Paralegal certificate.

· 5-–7+ years of paralegal experience with a large law firm in the corporate group and/or in-house.

· Expertise in Microsoft Office programs, specifically Word, Outlook, Excel, and PowerPoint.

· Clean tech/Energy experience is a preferred

· 5+ years of legal experience (with at least three years at a law firm) as either a transactional attorney or regulatory attorney

· Experience supporting operational business teams as they grow and scale

· Mix of corporate and in-house experience, with experience supporting physical retailers

· Experience successfully contributing to cross-functional teams

· Preferred someone with retail store space experience; any sort of chain store that scales quickly

· Experience in the following areas is what they want to see: regulatory, RE, permitting, local licensing, liquor licensing (they’ll be selling alcohol), labor relations, kitchens, fiscal and digital location legal requirements (ADA compliance), labor relations (training, regulatory, etc.), general regulatory by jurisdiction

· 7+years of legal experience (with at least three years at a law firm) as patent attorney

· Juris Doctor and membership in good standing in at least one state bar is required

· Registered to practice before the US Patent and Trademark Office (USPTO)

· Experience effectively addressing and resolving patent assertions/litigation

· Understanding of a wide variety of technology areas including: web services, virtualization, data storage, databases, operating systems, content delivery, and machine learning

· Cloud experience

· Undergraduate degrees: CS, EE or ME (no bio or life sciences)

· MUST have a minimum of 50 apps drafted from scratch on their own

· Juris Doctor degree and membership in good standing in at least one state bar

· Four or more years of experience working at a top national or regional law firm or the law department of a global company

· Exceptional written and verbal communication skills

· Sound and practical business judgment, as well as common sense

· A proven ability to manage a large number and variety of mission-critical projects, working with other cross-functional teams and often in ambiguous environments

PREFERRED QUALIFICATIONS

· Deep knowledge of Delaware law and/or Washington law

· Experience with tax, accounting, and intercompany matters

· Experience managing paralegals and other in-house legal professionals

· Experience with corporate restructuring projects and governance and maintenance of entities in multiple jurisdictions

· Experience with M&A transactions and investments

· 8-10 years’ of broad experience, including general commercial, corporate transactions (JV and M&A), and at least some minor exposure to disputes and PRC regulatory work.

The ideal candidate would have 2-4 years of experience at an asset management firm, investment adviser, hedge fund manager, and/or law firm.  He or she also must have impressive analytical abilities, excellent communication and drafting skills, a high capacity for detail, and the ability to identify and analyze regulatory and compliance issues in a fast-paced and rapidly changing business environment.  Knowledge of the Investment Advisers Act of 1940 is essential, and knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940, and the Commodities Exchange Act is a decided plus.

· Senior Compliance Officer is responsible for assisting in the continued build-out of Compliance Management System, for owning Compliance initiatives in support of company’s small business financing products and services, and for maintaining internal policies and programs associated with regulatory and partnership requirements.

· Knowledge of relevant regulations including Bank Secrecy Act and Anti-Money Laundering (BSA/AML), Fair Credit Reporting Act (FCRA), Fair Debt Collection Practices Act (FDCPA), Unfair or Deceptive Acts or Practices (UDAP), Truth in Lending Act (TILA) etc.
