• Negotiating, drafting, reviewing, and administering loan documentation for commercial real estate lending transactions, including letters of intent, mortgage loan documents, modifications, forbearance agreements, confidentiality agreements, and SNDAs;
• Managing outside counsel, reviewing legal due diligence, and coordinating loan closings;
• Providing general legal support, including advising on loan covenants, restructuring underperforming loans, and supervising litigation matters;
• Maintaining and distributing legal documents and templates and developing policies and procedures for handling and organizing project documents; and

Qualifications:

• JD from an accredited, top-tier law school and member of the California bar;
• 3-5 years of experience in commercial real estate finance;
• Prior experience in drafting and negotiating real estate financing documents, interacting with clients and outside counsel, and closing loan transactions;
• Strong interpersonal skills, ability to communicate clearly and concisely, both orally and in writing, and ability to efficiently manage and supervise outside counsel;
• Strong organizational skills and attention to detail, with ability to manage multiple tasks and responsibilities with minimal supervision; and
• Ability to function in a fast-paced, dynamic, and entrepreneurial environment.

•           6-10 years healthcare litigation experience

•           Big Law experience preferred

•           Not med mal/not Elder abuse

•           Experience representing hospital systems in business litigation

Required Experience:

•           Experience at drafting and negotiating a wide range of commercial contracts, with strong attention to detail.

•           Demonstrated experience as a self-driven attorney who can work independently; strong drafting and negotiation skills along with excellent business judgment and strategic thinking.

•           Experience in enterprise software, with knowledge of cloud-based service offerings a plus

•           Experience with channel (VAR, OEM, SI, etc.) programs and relationships required, particularly with three-tier and two-tier distribution models.

Demonstrated ability to develop creative solutions to novel issues in a fast-paced and ever-changing environment.

BASIC QUALIFICATIONS

• 5+ years of legal experience (with at least three years at a leading law firm or in house) as a transactional attorney, preferably with focused experience in specialized IT contracts and/or the domain name system

The person serving in this role will structure, draft and negotiate agreements, counsel internal business clients, and manage outside counsel on matters and issues across the infrastructure technology development and supply chain & procurement spectrum. Additional responsibilities of this position include formulation and implementation of process-oriented improvements, administration and resolution of legal issues that arise in existing commercial relationships, and handling of pre-litigation legal disputes and inquiries.
