When you click “Save & Continue,” you’re taken directly into your document builder, where you start working through the questionnaire to draft your bespoke agreement. The process starts by selecting the kind of agreement you want to prepare and entering the basic underlying deal information.

The questionnaire will then lead you through each of the topics listed on the left, including the deal structure, the parties involved, the consideration for the deal, reps and warranties, covenants, indemnification provisions, closing conditions, and more. As you work your way through the questionnaire, you have the option of doing the entire agreement all at once (clicking “Save & Continue” at the bottom of each page) or saving your progress where you are and coming back to finish later.

You can also jump around to the different parts of your agreement at any time by clicking on the tabs at the left. For example, if you want to review the various reps and warranties you can include in your agreement, just click on either “Target Reps & Warranties” or “Acquirer Reps & Warranties” and you’ll see long lists of possible agreement items to include, according to your preferences. With drewdocs, you’re not limited to just basic agreements — the extensive questionnaires allow for an impressive level of complexity when creating Merger, Equity Purchase, and Asset Purchase Agreements.

As you navigate through the specific sections, drewdocs visually keeps track of your progress for you. Sections you have completed appear in the left column with a green checkmark next to them. If you’ve visited a section but haven’t completed all the information, the checkmark is gray.

This is a simple yet effective way to know that you’ve covered all your bases and to keep track of your progress on your documents.

The final step in the preparation process is choosing the boilerplate terms you want to include, like closing location, venue, governing law, and more. Once you’re done, just click “Save & Close” and drewdocs will generate a Word document of your agreement in a matter of seconds (yes, it really is that fast).

You get a link to your agreement and an immediate download, plus a link to go back and edit your questionnaire if you need to. The generated Word document includes information and directions for finalizing your agreement on the front page.
