Understanding The SEC’s Newly Proposed Climate Disclosure Requirements

It’s crucial for today’s corporations and their lawyers to understand their obligations in relation to climate change, and how these latest proposed requirements might make those obligations more complex.

SECIn a much-anticipated move last month, the SEC proposed adding sweeping new climate change disclosure and reporting requirements to a number of regulations and SEC forms. Among the required new disclosures are information about company climate change policies, Greenhouse Gas Protocol Scope 1, 2, and 3 emissions, and attestation requirements for accelerated and large accelerated filers.

Companies should begin planning now for more extensive and complex disclosure requirements likely to be enacted from this proposal. To help you understand the proposed disclosure requirements and how to plan for them, PLI is offering a one-hour program, Climate Disclosures – A Deep Dive Into the SEC’s Proposed New Governance, Strategy and Risk Disclosures.

In this session, an expert panel will address a number of key issues, including:

  • The rationale for the SEC’s proposed changes
  • The foundations for the proposed rules in the Task Force on Climate-related Financial Disclosures framework
  • Governance-related disclosures relating to Board of Directors’ oversight, disclosure of directors’ expertise considerations, Board considerations for risk evaluation, targets, and goals, and management’s role and process disclosures
  • Strategy, business model, and outlook disclosures relating to potential business and financial impacts of climate-related risks, physical risks, transition risks, short-, medium-, and long-term time horizons, and internal carbon prices
  • Risk management disclosures, including disclosure of processes for identifying, assessing, and managing climate-related risks
  • Targets and goals disclosures
  • Phase-in requirements
  • Recommended action steps
