Cadwalader today announced that attorneys Joshua Apfelroth, Nathan Bull, Sophie K. Cuthbertson, David S. Gingold, Michele C. Maman, Stephanie Marcantonio, Sinjini Saha, Adam D. Summers, Daniel Tobias and Edward S. Wei have been elected to the firm’s partnership, effective January 1, 2017.

Joshua Apfelroth, Corporate, New York – Josh’s practice involves counseling clients in a broad range of complex transactional matters, including public and private mergers, acquisitions, divestitures, proxy contests, tender offers, exchange offers, spinoffs and joint ventures. He also represents issuers, underwriters and selling stockholders in connection with public and private securities offerings. Josh’s practice also includes the representation of investment banks in their capacity as financial advisors on M&A and other transactions. In addition to his transactional experience, Josh advises clients in a wide array of governance, securities and other commercial matters, including directors’ duties and responsibilities, board composition, disclosure issues and compliance. Josh received his J.D. from the Washington College of Law at American University and a B.A. from American University.
Nathan Bull, Litigation, New York – Nathan concentrates his practice on complex securities and commercial litigation in state and federal court, including many matters defending directors and officers and numerous representations involving complex financial instruments and structured products. In particular, Nathan has substantial experience representing clients in complex contractual disputes, merger litigations and bankruptcy-related proceedings, as well as class action, shareholder derivative and RICO litigations. Nathan also has extensive experience in a variety of regulatory matters and enforcement actions brought by various federal and state entities and departments. Nathan earned his J.D. from New York University School of Law and received a B.A., cum laude, from the University of Pennsylvania.
Sophie K. Cuthbertson, Capital Markets, Washington, DC – Sophie focuses her practice primarily on privately offered structured fund products, including U.S. and non-U.S. hedge funds, fund-of-funds, commodity pools and private equity-style hedge funds, and publicly and privately offered student loan asset-backed securitization offerings. She also has significant experience with institutional and retail unsecured medium-term note offerings and other investment grade debt offerings. Her clients include large public companies, investment banks and asset managers. Sophie received her J.D. from New York University School of Law and a B.A., magna cum laude, from the University of Pennsylvania.
David S. Gingold, Capital Markets, New York – David’s practice is concentrated in structured finance, derivatives and securitization. He has a wide range of experience representing underwriters, issuers, collateral managers, investors, loan sellers and swap providers in various types of public and private securities offerings and structured finance transactions. Along with corporate debt and equity issuances, David has provided clients with advice regarding the structuring, ongoing operation and liquidation of various types of public and private securitizations, including cash, synthetic, commercial real estate-backed and hybrid collateralized debt obligations (CDOs), collateralized loan obligations and fixed and floating rate commercial mortgage securitizations. David received his J.D. from the University of Michigan Law School and a B.A. from Williams College.
Michele C. Maman, Financial Restructuring, New York – Michele’s practice is concentrated in the area of bankruptcy and financial restructuring. She has represented creditors, debtors, swap counterparties and other market participants in chapter 11 proceedings and out-of-court restructurings across a variety of industries. Michele also has experience in international insolvency matters, including acting for foreign representatives in proceedings under chapter 15 and section 304 of the Bankruptcy Code and representing stakeholders in cross-border restructurings. Michele received her J.D. from the Benjamin N. Cardozo School of Law and graduated, cum laude, from Barnard College of Columbia University.

Stephanie Marcantonio, Corporate, New York – Stephanie advises health care providers, pharmaceutical companies and tax-exempt entities, including religious organizations and foundations, on a wide array of corporate transactional, regulatory and governance matters and represents lenders and borrowers in health care financings. Adam D. Summers, Corporate, New York – Adam’s practice focuses on credit and capital markets transactions. He advises investment banking clients throughout the deal process, from the early stages through closing and funding. He also represents banks and commercial lenders in syndicated credit facilities in connection with leveraged buyouts and other acquisition financings and provides ongoing counsel to agents and arrangers under such facilities. Adam also advises sponsors, companies and investments banks on the entire commitment letter process and provides counsel to his clients on securing financing commitments in connection with acquisitions. Daniel Tobias, Capital Markets, London – Daniel specializes in securitization, with a focus on collateralized loan obligations (CLOs). He has represented arrangers, collateral managers and warehouse finance providers in connection with a variety of European CLO 2.0 transactions and loan warehouse facilities. Daniel has been working on CLO transactions since the resurgence of the European CLO market several years ago, and he has advised on numerous CLOs, including those with complex originator retention structures. Daniel holds undergraduate degrees in law and commerce from Victoria University of Wellington and a Master of Finance degree from Cambridge University.
Edward S. Wei, Tax, New York – Ed is a tax lawyer with extensive experience in U.S. and international tax matters, including taxable and tax-free mergers and acquisitions, divestitures, tax-free spin-offs, leveraged buyouts, initial public offerings, formation of funds, real estate transactions, equity and debt financings and restructurings. He routinely provides tax planning advice for multinational companies within and outside the affiliated group context and advises on structuring partnership and limited liability company formations (including publicly traded partnerships), joint ventures and real estate funds. Tom Bainbridge, Antitrust, Brussels – Tom advises clients on EU and UK competition law. He specializes in cartel defense and has particular expertise advising companies in the financial services sector. Tom regularly represents clients before the European Commission and the UK Competition & Markets Authority. Tom has also successfully represented companies in appeals to the UK Competition Appeal Tribunal and The EU Court of Justice and has advised clients in a range of merger control proceedings. Tom received a Law & French degree from the University of Bristol and also studied at the Université de Poitiers. He attended law school at The College of Law, London and undertook post-graduate study at King’s College London.
Suzanne Bell, Capital Markets, London – Suzanne advises leading financial institutions and corporations in connection with a wide range of domestic, European and international structured finance and capital markets transactions. Merryn Craske, Capital Markets, London – Merryn advises financial institutions, originators and others on a wide range of structured finance transactions, including multi-jurisdictional trade receivables securitizations, securitizations of consumer loans, insurance premium loans and auto loans and leases, asset-backed commercial paper conduits, residential mortgage-backed securitizations and commercial mortgage-backed securitizations. She also closely follows regulatory developments relating to structured finance. Merryn is also experienced in providing guidance to clients on a variety of other international and domestic banking and finance transactions, including secured lending, derivatives and capital markets transactions. Merryn received a B.A. (hons) from Royal Holloway, University of London and completed the Common Professional Examination – Diploma in Law and Legal Practice Course at the College of Law, London.
Ngoc Pham Hulbig, Antitrust, Charlotte – Ngoc advises clients on premerger notification requirements under the Hart-Scott-Rodino Antitrust Improvements Act, leading the research and analyses of the HSR Act’s application to particular transactions, and counsels clients on HSR Act compliance and prepares and works with clients on completion of HSR filings. Ngoc received her B.A., cum laude, from Appalachian State University, where she was a Chancellor’s Scholar and Thomas J. Watson Scholar, and received her J.D., with honors, from the University of North Carolina at Chapel Hill.
