KELLOGG HANSEN — MEMO — ATTORNEY COMPENSATION

Dear Associates:

We are very excited at the prospect of seeing you back in the office soon, and are delighted that you have an associate cocktail party and baseball outing already planned for the summer.

I assume you have all noticed that the big firms are raising associate salaries mid-year. Milbank started it off and Davis Polk and others have upped the ante.

As we have noted, we plan to deal with all bonus issues at the end of the year. But pursuant to our commitment to pay top dollar we plan to increase associate salaries effective July 1. The new schedule (based on years at the firm rather than class year) will be:

Year 1 – $245,000 (up from $225,000)

Year 2 – $245,000 (up from $225,000)

Year 3 – $310,000 (up from $285,000)

Year 4 – $335,000 (up from $310,000)

Year 5 – $360,000 (up from $335,000)

Year 6+ – $370,000 (up from $345,000)

Please let me know if you have any questions.

Michael
